NIS Institute Switzerland is operated by TechTrust FRANCK Consulting (hereafter called “TechTrust”) under licence from CyberMinute BV, Belgium. TechTrust is the Customer’s contracting and invoicing supplier, providing logistical support for training delivery in Switzerland. CyberMinute owns or controls the NIS Institute brand and may provide registration, administration, training supply and delivery support. NIS Institute Switzerland is a trading designation, not a separate legal entity.
1. Scope and contract
1.1 These Terms apply to courses, coached self-study, individual and group Fast Tracks, workshops, online and hybrid learning, examinations are provided by the PECB or other (where included), and related training services sold by TechTrust under the NIS Institute Switzerland name (Services).
1.2 Customer means the person or organisation purchasing a Service. Participant means the person attending or accessing it. An organisation booking Participants is responsible for its booking, payment and communicating relevant course instructions to its Participants.
1.3 The Customer must receive or have access to these Terms before booking. For online bookings, the checkout must identify TechTrust as supplier, describe the Service and total price, permit correction of order details and clearly indicate the payment obligation. TechTrust or its authorised NIS Institute registration team will confirm the booking electronically.
1.4 A signed agreement prevails over an accepted quotation or booking confirmation, which prevails over these Terms. Mandatory third-party provider rules apply to the relevant provider-controlled component where disclosed before booking. Customer purchasing terms apply only if TechTrust expressly accepts them in writing.
1.5 These Terms are in English, the agreed contractual language unless the parties agree otherwise in writing. The teaching language of each Service is identified in its description or confirmation. TechTrust consulting, audit or implementation services are outside these Terms unless expressly included.
2. Quotation, booking and full advance payment
2.1 Unless stated otherwise, a quotation is valid for 15 calendar days, subject to availability. A course listing does not reserve a place. TechTrust may decline a request where capacity, prerequisites, provider rights or necessary information are unavailable.
2.2 All Customers, whether organisations or individuals, must pay 100% of the confirmed booking price in cleared funds in advance. A place, trainer, venue, provider entitlement or access is not secured until TechTrust has accepted the booking in writing and received full payment. An invoice, purchase order or promise to pay is not payment.
2.3 If TechTrust sends a provisional booking confirmation or invoice before receiving payment, the reservation is conditional on full payment by the stated deadline. After notice, TechTrust may release an unpaid place or cancel the provisional booking. No courseware will be released, provider licence activated or training begun before payment unless TechTrust expressly agrees otherwise in writing.
2.4 Prices are quoted in Swiss Francs (CHF). The accepted quotation or checkout states the total amount payable, applicable VAT treatment and what is included, including any examination entitlement, licence, materials, refreshments or lunch. Optional extras are charged only if disclosed and accepted. A confirmed price will not be increased without Customer agreement.
2.5 Any undisputed overdue amount may attract default interest at 5% per annum from the date default begins, together with reasonable recoverable collection costs. A good-faith invoice dispute does not suspend payment of the undisputed part. This clause does not impose a Belgian-law surcharge or fixed penalty.
3. Course delivery and third-party providers
3.1 The booking confirmation or course description identifies the format, dates, venue or platform, teaching language, live teaching time, prerequisites, required pre-work and material inclusions. Participants must comply with reasonable teaching, platform, venue and examination rules.
3.2 PECB and other third-party courses, courseware, examinations and certificates are subject to the applicable provider requirements. TechTrust will not describe a NIS Fast Track, coaching or blended product as an official provider course of reduced duration unless the provider has authorised that format. The offer will distinguish live tuition, independent study and official provider components.
3.3 Training and exam preparation do not guarantee an examination pass, credential, organisational certification, employment outcome or regulatory compliance. Provider-issued results and certifications are determined independently by the provider. A NIS attendance or completion confirmation is not a PECB credential.
3.4 TechTrust may replace a trainer, room or teaching sequence if substantially equivalent learning remains available. A material change to agreed date, location, format, language or provider entitlement is handled under clause 5.
4. Customer cancellation and substitutions
4.1 Cancellation or postponement requests must be emailed to barry.franck@tech-trust.ch. They take effect when received. To receive the standard timely-cancellation treatment, notice must reach TechTrust at least 14 full calendar days before the scheduled course start time in the time zone shown in the confirmation.
4.2 For cancellation received at least 14 full calendar days before the start, TechTrust will refund the course price paid, less a third-party licence, examination entitlement or digital courseware cost only if it was specifically disclosed as non-refundable before purchase, was already irrevocably activated or purchased for that booking, and cannot reasonably be transferred, credited or recovered.
4.3 For cancellation received fewer than 14 full calendar days before the start, or a no-show, no refund is due unless mandatory law requires it or TechTrust recovers or reuses a separately charged unused third-party component. TechTrust may voluntarily offer an alternative date or credit. It will take reasonable steps to mitigate avoidable loss.
4.4 A substitute Participant may be nominated before the course if the substitute meets prerequisites and provider rules permit any licence or exam transfer. TechTrust will disclose any unavoidable transfer fee before confirming substitution.
4.5 Activated self-study access or digital content may be non-transferable or non-refundable if clearly disclosed before purchase, subject to mandatory law. These Terms do not create a general 14-day cooling-off period after purchase and do not exclude a withdrawal or cancellation right that applies mandatorily in particular circumstances.
5. Cancellation, changes and remedy by TechTrust
5.1 TechTrust may postpone or cancel a course because a stated minimum enrolment is not achieved, a suitably qualified trainer or necessary venue becomes unavailable, a provider withdraws a required component, or proper delivery is prevented by an event outside reasonable control. It will notify the Customer promptly.
5.2 If TechTrust cannot deliver a confirmed course as agreed, its first remedy will be to offer a place on another suitable course at no additional course fee. An alternative may be in person or live virtual if it provides substantially equivalent learning, meets applicable provider requirements and is reasonably accessible. TechTrust will disclose material differences before the Customer decides.
5.3 The Customer need not accept a materially different alternative, including virtual training if an in-person format was an essential agreed requirement. If no suitable alternative is offered within a reasonable time, or the Customer reasonably declines a materially different alternative, TechTrust will refund the fees paid for the affected undelivered Service. The Customer need not accept credit instead of an available refund.
5.4 If a delivered Service materially falls short of its agreed description, TechTrust will first have a reasonable opportunity to remedy the failure, including through a suitable replacement course or live virtual training at no additional course fee. If a suitable remedy is not provided within a reasonable time, the Customer may receive a refund of fees paid for the affected Service, subject to clause 10 and mandatory law.
5.5 Where TechTrust is responsible for non-delivery, it will not require the Customer to bear a non-recoverable provider charge for the undelivered Service. It will use available provider transfer or credit options where possible. Independently booked travel and accommodation are excluded to the extent law permits, unless expressly agreed otherwise.
6. Participation and materials
6.1 Participants must meet disclosed prerequisites, complete agreed pre-work and behave professionally. TechTrust may reasonably remove a Participant for serious safety, harassment, security, examination-integrity or disruptive conduct, with a warning where appropriate.
6.2 Participants provide suitable connectivity and equipment for remote learning. TechTrust will reasonably address a material failure of systems for which it is responsible.
6.3 NIS Institute brand, proprietary course content and methods remain with CyberMinute or the applicable rights holder. PECB and other provider marks, exams, platforms and materials remain with those providers. Customer-provided materials remain the Customer’s property. Purchase confers only a personal, non-transferable right to use learning materials as permitted by the relevant rights holder.
6.4 Customers and Participants may not share logins; record sessions without written permission; copy, translate, distribute, publish, resell or teach using protected materials; disclose exam questions; or upload protected materials, credentials or confidential training content to public or unauthorised generative-AI systems.
7. Confidentiality and delivery partners
7.1 Each party will protect non-public information learned through the Service and use it only for the agreed purpose, subject to lawful disclosure. Customers should not disclose live passwords, unnecessary sensitive personal data or confidential production records in exercises without agreeing safeguards first.
7.2 TechTrust may use qualified CyberMinute/NIS Institute personnel, approved trainers, technology and administration providers, and third-party course or exam providers to perform the Service. Appropriate confidentiality, security, quality and provider obligations will apply. TechTrust remains the Customer’s Swiss contracting supplier.
8. Registration and personal data
8.1 NIS Institute’s central team, supported by CyberMinute BV, may process Customer and Participant registrations, confirmations and administration. Relevant contact, booking, attendance, platform, provider and related records may be stored or accessed in Belgium or elsewhere in the EU for administering and delivering Services. This does not change TechTrust’s identity as Swiss supplier.
8.2 Necessary personal data may be shared with CyberMinute, approved trainers, course/exam providers, learning-platform, IT and payment suppliers. TechTrust and CyberMinute will document their actual controller and processor roles for each activity and comply with applicable Swiss data-protection law and, where relevant, GDPR.
8.3 A separate Swiss Privacy Notice, made available before data collection, identifies purposes, recipient categories, destinations, retention, data-subject rights, security and a privacy contact. The hosting and onward-transfer chain, including any access from outside Belgium/EU, must comply with applicable Swiss cross-border transfer requirements.
8.4 Accepting these Terms does not constitute consent to unrelated marketing emails. TechTrust and its partners will coordinate security incidents and notifications as required by applicable law.
9. Complaints and certificates
9.1 The Customer should report a concern promptly to TechTrust and permit a reasonable opportunity to investigate and remedy it under clause 5. Complaints about provider-controlled exam or certification decisions follow the provider’s own procedure.
9.2 A NIS Institute participation or completion confirmation may be provided where stated and applicable attendance or assessment criteria are met. It must not be understood as a provider-issued professional certificate unless expressly issued by that provider.
10. Liability
10.1 To the maximum extent permitted by Swiss law, TechTrust’s aggregate contractual liability for an affected booking is limited to a refund of the course or Service fees actually paid to TechTrust for that booking. Where feasible, another suitable course or live virtual training is the first remedy under clause 5.
10.2 To that same extent, TechTrust is not liable for indirect or consequential loss, lost profits, lost earnings, business interruption or independently booked travel and accommodation. TechTrust does not guarantee examination or certification outcomes.
10.3 Nothing in these Terms excludes or limits liability for intentional misconduct, gross negligence or any liability or remedy that cannot lawfully be excluded or limited. Nothing relieves TechTrust of its duty to deliver what it agreed to supply.
11. Force majeure
11.1 A party prevented from performing by an event genuinely outside its reasonable control must promptly notify the other and take reasonable mitigation steps. Performance may be postponed while the event continues. If the Service cannot reasonably be provided, clause 5 applies.
11.2 Ordinary lack of sales, an avoidable staffing shortage or routine booking error is not automatically force majeure. Payment obligations for Services already delivered remain due.
12. Swiss law and general provisions
12.1 Swiss law governs the Customer contract, subject to mandatory law. The parties will first try to resolve disputes in good faith. For corporate Customers, the competent courts at TechTrust’s place of business in Canton Vaud have jurisdiction, subject to mandatory rules. An individual Customer retains any mandatory jurisdiction rights.
12.2 If a provision is invalid, the rest remain effective. No provision removes a mandatory statutory right or remedy.
12.3 TechTrust may change these Terms for future bookings. The version accepted for an existing booking continues to govern that booking unless the Customer agrees otherwise or mandatory law requires a change.
